Terms of Service

Effective: 7 April 2026

These terms form a binding contract between you and Lili's Ark Limited, a company registered in England and Wales (company number 15424953) ("we", "us", "our"), and govern your use of Happening ("the Service"). By creating an account, using the Service, or sharing or accepting an event invitation, you agree to these terms. If you do not agree, do not use the Service.

1. The Service

Happening is an event planning tool that helps groups find mutually available dates. You can create events, invite others, collect availability, choose a date, and receive reminders. The Service is provided free of charge. We reserve the right to introduce paid features in the future, with clear prior notice.

2. Eligibility

You must be at least 16 years old to use Happening. By creating an account, you represent and warrant that you are at least 16 years old. We do not knowingly allow anyone under 16 to use the Service, and if we become aware that a user is under 16 we will delete their account.

3. Your Account

• You are responsible for keeping your login credentials secure and for all activity under your account.
• You must provide accurate information and keep it up to date.
• You may not share, sell, or transfer your account.
• You may delete your account at any time from Settings → Delete Account. Deletion is immediate and permanent.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Harass, bully, threaten, impersonate, or intimidate other users.
• Send spam, unsolicited invitations, chain messages, or bulk event requests.
• Upload, share, or create content that is obscene, sexually explicit, hateful, violent, discriminatory, defamatory, or that infringes any third-party rights.
• Upload malware, viruses, or any code designed to disrupt the Service.
• Attempt to gain unauthorised access to other accounts, our systems, or any related systems.
• Scrape, crawl, reverse-engineer, decompile, or otherwise interfere with the Service.
• Use the Service in a way that could damage, disable, or overburden our infrastructure.

We may suspend or terminate accounts that violate these terms, with or without notice, in our sole discretion.

5. User-Generated Content and Moderation

Happening allows you to create events, invite others, and share content. We have zero tolerance for objectionable content or abusive behaviour. You are solely responsible for the content you post.

We provide the following safeguards:

• Reporting: Any user can report an event, user, or piece of content by using the Report feature inside the app.
• Blocking: Any user can block another user at any time. Blocked users cannot contact you, invite you to events, or appear in your friends list.
• Moderation: We review reports and act on objectionable content within 24 hours, including removing content and ejecting offending users where appropriate.
• Profanity filter: We automatically reject event names, group names, and display names that contain profanity or slurs.

6. Event Content and Licence

You retain ownership of the content you create (event names, descriptions, locations, pictures, and availability). By posting content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and transmit that content solely for the purpose of operating the Service and delivering it to the participants you invite. This licence ends when you delete the content or your account, except where retention is required by law.

7. Guest Access

People you invite who are not registered users ("Guests") can view your event and provide their name, email address, and availability via a share link. By sharing an event link, you acknowledge that any recipient may be able to view event details and other participants' availability. You are responsible for sharing links only with people you trust.

8. Notifications

We send transactional emails and push notifications related to your events (invitations, reminders, updates, friend requests). You can unsubscribe from email notifications via the link in each email or adjust preferences in Settings. Essential service emails (such as password reset, account security, and account deletion confirmations) cannot be disabled.

9. Payments and In-App Purchases

The Service is currently free of charge. There are no in-app purchases, subscriptions, or advertisements. If we introduce paid features in the future, we will notify you in advance and require your explicit consent before charging you.

10. Refunds (if applicable)

If we ever introduce paid features, refund requests for purchases made via the Apple App Store must be submitted to Apple via reportaproblem.apple.com. Purchases made via Google Play must be requested via your Google Play account. Purchases made directly from us are governed by UK consumer law.

11. Third-Party Services and App Store Terms

If you download Happening from the Apple App Store, your use is also governed by Apple's Licensed Application End User License Agreement (the "Apple EULA"), which is available at apple.com/legal/internet-services/itunes/dev/stdeula. These Terms of Service are entered into between you and Lili's Ark Limited, not Apple. Apple has no obligation to provide any maintenance or support for Happening and is not responsible for any product warranties, claims, or intellectual property infringement. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

If you download Happening from Google Play, your use is also governed by the Google Play Terms of Service.

12. Intellectual Property

The Happening name, logo, website, app, source code, and all related materials are owned by Lili's Ark Limited and are protected by UK and international copyright, trademark, and other intellectual property laws. These terms do not grant you any right to use our trademarks or branding without our prior written consent.

13. Availability and Uptime

We aim to keep Happening available at all times but do not guarantee uninterrupted service. We may perform maintenance, apply updates, or experience outages. We may also modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable for any loss arising from service interruptions.

14. Warranty Disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

15. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Service.
• Our total aggregate liability to you for any claim is limited to the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) £100.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

16. Indemnity

You agree to indemnify and hold harmless Lili's Ark Limited, its directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these terms or your misuse of the Service.

17. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

18. Termination

You may stop using the Service at any time and delete your account from Settings. We may suspend or terminate your access to the Service (with or without notice) if you breach these terms, engage in objectionable behaviour, or if we are required to do so by law. On termination, your right to use the Service ceases immediately.

19. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before they take effect. Continued use after that date constitutes acceptance of the updated terms. If you do not agree, you must stop using the Service and delete your account.

20. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

21. Governing Law and Jurisdiction

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that we may bring proceedings to protect our intellectual property in any court of competent jurisdiction.
